Effective Date: September 5, 2026
These Terms of Use (“Terms”) govern your access to and use of the Applina website, programs, memberships, resources, educational materials, advisory services, and related offerings (collectively, the “Services”).
The Services are provided by Applina LLC (“Applina,” “we,” “us,” or “our”).
By accessing or using the Services, purchasing a membership or resource, or participating in an Applina program, you agree to these Terms.
1. About Applina
Applina provides independent AI education, governance resources, strategic advisory, and organizational capability development for healthcare professionals and healthcare organizations.
Our Services may include:
- AI Leadership Programs
- AI Governance Library resources
- Executive Briefings and workshops
- Strategic advisory services
- Membership programs
- Frameworks, templates, checklists, playbooks, and other resources
- Educational content and events
- AI Advisory Network resources and insights
Specific services may also be governed by an order form, proposal, statement of work, membership agreement, or other written agreement between Applina and a customer. If there is a conflict between these Terms and such an agreement, the specific written agreement will control with respect to that engagement.
2. Independent and Vendor-Neutral Guidance
Applina provides independent, vendor-neutral guidance.
Applina does not develop or sell AI software as part of the Services described on this website and does not accept vendor commissions for recommending particular AI products.
Recommendations and educational materials are intended to help organizations make informed decisions based on their circumstances, objectives, risks, and available information.
No recommendation guarantees that a particular technology, vendor, implementation, or investment will achieve a specific result.
3. Educational and Advisory Information
Information provided through Applina is for educational, informational, governance, and strategic advisory purposes.
Applina does not provide medical diagnosis or treatment through these Services, and the Services are not a substitute for professional medical, legal, accounting, cybersecurity, compliance, or other specialized professional advice.
Healthcare organizations remain responsible for their own clinical, operational, regulatory, legal, security, procurement, and technology decisions.
You should obtain appropriate professional advice when necessary for your organization.
4. Artificial Intelligence and Technology Decisions
Artificial intelligence technologies evolve rapidly and may contain limitations, errors, biases, security risks, regulatory concerns, or other risks.
Applina may provide frameworks, evaluations, recommendations, educational materials, or other information relating to AI technologies and vendors. Such information reflects the information reasonably available at the time and may change as technologies, regulations, evidence, or industry practices evolve.
You are responsible for conducting appropriate due diligence and determining whether any technology, vendor, workflow, or implementation is appropriate for your organization.
5. Memberships and Access
Certain Services may require a paid membership, subscription, registration, or separate engagement.
Access is limited to the individuals or organization covered by the applicable purchase or agreement.
Unless expressly permitted by Applina, you may not:
- Share login credentials with unauthorized users
- Provide membership access to individuals outside your authorized organization
- Resell or redistribute Applina materials
- Publish paid resources publicly
- Use one membership to provide access to multiple organizations
Applina may suspend or terminate access when we reasonably believe an account is being misused or these Terms have been violated.
6. Governance Library and Applina Materials
The Governance Library, AI Leadership Program, Decision Briefs, frameworks, templates, checklists, playbooks, presentations, videos, educational materials, methodologies, graphics, and other Applina content are owned by Applina or its licensors and are protected by applicable intellectual property laws.
Subject to your applicable membership or purchase, Applina grants you a limited, non-exclusive, non-transferable license to use these materials for your own professional purposes or for the internal operations of the organization covered by your membership.
You may adapt templates and frameworks for your organization's internal use.
You may not, without prior written permission:
- Resell or sublicense Applina materials
- Distribute paid materials outside your authorized organization
- Publish or post paid materials publicly
- Remove copyright or proprietary notices
- Represent Applina materials as your own proprietary product
- Use Applina materials to create or sell a substantially similar commercial library, course, membership, or advisory product
7. AI Advisory Network and Contributions
Certain Applina programs may allow members, advisors, experts, or participating organizations to contribute experiences, observations, feedback, or other information.
Participants must not submit protected health information, confidential patient information, trade secrets, or other information they are not authorized to share.
Applina may use appropriately aggregated, anonymized, or generalized insights from these contributions to improve educational materials, governance resources, Decision Briefs, and other Services.
Unless otherwise agreed in writing, Applina will not publicly identify an organization as the source of confidential implementation information without authorization.
8. Confidentiality
During an advisory engagement, either party may receive confidential or proprietary information belonging to the other party.
Where applicable, confidential information will be handled according to the agreement governing that engagement.
You are responsible for ensuring that information you provide to Applina may lawfully be disclosed.
Do not submit protected health information, patient records, or other sensitive healthcare information through Applina's public website or general contact forms.
9. Purchases, Fees, and Payments
Prices for memberships, resources, workshops, or other Services will be displayed at the time of purchase or specified in the applicable proposal, order form, or agreement.
You agree to provide accurate billing information and pay all applicable charges associated with your purchase.
Payments may be processed through third-party payment providers.
Unless otherwise stated at the time of purchase or in a separate written agreement, fees are charged in U.S. dollars.
10. Renewals and Cancellations
If a membership or subscription automatically renews, the renewal terms will be disclosed at the time of purchase.
You may cancel future renewal according to the instructions provided with your membership or by contacting admin@applina.ai.
Cancellation stops future renewal but does not automatically entitle you to a refund for a current membership period.
11. Refunds
Unless a different refund policy is expressly stated at the time of purchase or in a written agreement, payments for digital resources, memberships, programs, workshops, and advisory services are non-refundable once access or services have been provided.
If Applina cancels a paid program or service before it is provided, Applina may provide a refund, credit, rescheduling option, or other appropriate remedy.
12. Acceptable Use
You agree not to use the Services to:
- Violate applicable laws or regulations
- Infringe intellectual property or privacy rights
- Gain unauthorized access to systems or accounts
- Distribute malicious software or harmful code
- Interfere with the operation or security of the Services
- Misrepresent your identity or affiliation
- Collect information about other users without authorization
- Use Applina content in violation of these Terms
13. Third-Party Services
The Services may reference or link to third-party technologies, vendors, websites, research, platforms, or services.
References to third parties do not constitute an endorsement, guarantee, or warranty unless expressly stated otherwise.
Applina does not control third-party products or services and is not responsible for their availability, performance, security, privacy practices, accuracy, or terms.
14. No Guarantee of Results
Applina helps organizations improve how they evaluate, govern, adopt, and scale AI, but organizational results depend on many factors outside Applina's control.
We do not guarantee particular financial, operational, clinical, regulatory, implementation, adoption, or business outcomes.
Examples, case studies, benchmarks, and potential benefits are illustrative and should not be interpreted as guarantees of future performance.
15. Disclaimer of Warranties
To the fullest extent permitted by law, the Services and website are provided on an “as is” and “as available” basis.
Applina makes no warranty that the Services will be uninterrupted, error-free, or suitable for every organization or purpose.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
16. Limitation of Liability
To the fullest extent permitted by applicable law, Applina will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, loss of data, or business interruption arising from or related to the Services.
To the fullest extent permitted by law, Applina's aggregate liability arising from or relating to the Services will not exceed the amount paid by you to Applina for the applicable Service during the twelve months preceding the event giving rise to the claim.
Some jurisdictions do not permit certain limitations of liability, so some limitations may not apply to you.
17. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Applina LLC and its officers, employees, contractors, and representatives from claims, liabilities, damages, and reasonable expenses arising from your misuse of the Services, violation of these Terms, or infringement of another person's rights.
18. Suspension and Termination
Applina may suspend or terminate access to the Services if you materially violate these Terms, misuse the Services, fail to pay applicable fees, or engage in conduct that threatens the security, integrity, or lawful operation of the Services.
Upon termination, rights granted to access paid or restricted Applina materials will end except where otherwise provided by a separate written agreement.
Provisions that by their nature should survive termination will remain in effect, including intellectual property, disclaimers, limitations of liability, and other applicable provisions.
19. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
Any dispute arising from these Terms or the Services will be subject to the jurisdiction of the appropriate state or federal courts located in Florida, unless the parties agree otherwise in writing or another written agreement governing the engagement provides a different dispute-resolution process.
20. Changes to These Terms
We may update these Terms periodically to reflect changes in our Services, business practices, or legal requirements.
When we make changes, we will update the Effective Date at the top of this page.
Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.
21. General Terms
If any provision of these Terms is determined to be unenforceable, the remaining provisions will remain in effect.
Our failure to enforce a provision of these Terms does not waive our right to enforce it later.
You may not transfer your rights under these Terms without our written consent. Applina may assign its rights and obligations in connection with a merger, acquisition, reorganization, or transfer of its business.
These Terms, together with the Privacy Policy and any applicable written agreement, constitute the agreement governing your use of the applicable Services.
